Business Startup Advisory & Management Services

SANTA’S WORKSHOP TRADING COMPANY (SWTC) will provide business start-up consulting and management services to its brands and products and those of its third-party distributors, wholesalers, retailers, and licensees. The services it will provide are in the fields of consumer goods, gifts, home goods, Christmas books, clothing and non-alcoholic powder-based beverages, sold through its online e-commerce website, wholesaler, retailer, distributorship, or licensee networks that relate to the entity form for the product, intellectual property, regulatory compliance and treasury services.
Selection of Legal Entity Form of Business Structure
For new third-party companies, SWTC will carefully evaluate the nature of the business and advise the best form of business structure available that will determine investors personal liabilities, the amount of taxes each will pay, their ability to attract and raise capital, the entity’s operational and administrative complexity, its volume of regulatory compliance paperwork and its exit strategy.
Intellectual Property
SWTC will provide consulting services to its new third-party distributors, wholesalers, retailers, and licensees, or their new products relating to an extensive search of their proposed company name/product. HJSE will search the United States Patent & Trademark Electronic Search System data base (TESS), the Secretary of State data base, domain names, trade names, and social media sites to determine the availability of the proposed company brand or product name.
Federal and State Formal Legal Organizational Compliance Requirements
SWTC will provide advisory and management services to set up the new company and/or product so that it adheres to all aspects of the incredibly challenging, complex regulatory, public policy and private law ecosystems under which it must operate. SWTC will assist third party’s with filing the necessary paperwork to incorporate the business, prepare an operating agreement, obtain necessary licenses, permits and registrations, including, but not limited to state and city business licenses, Food & Drug Administration nutrition fact panels, federal Employer Identification Number (EIN), state sales tax license number, zoning clearance approvals, etc.
Operational Services
SWTC will provide consulting and management services to its new third-party distributors, wholesalers, retailers, and licensees, or their new products relating to:
  • Setting up on-line e-commerce ordering systems, including, but not limited to, invoicing design, preparing return, shipping and handling policies, selecting a credit card gateway processor, etc.
  • Setting up computer databases.
  • Selecting and setting up an inventory valuation method (ABC analysis, Just-In-Time, First-In First Out, Reorder Point) to optimize product stock levels.
  • Setting up systems for merchandise, manufacturing and packaging supplies inventory.
  • Gathering product data and organizing it into three standard form financial statements-Income Statement, Statement of Financial Position and Statement of Cash Flows for new SWTC third-party distributors, wholesalers, retailers, and licensees. Such services shall include, but not be limited to, preparation of chart of accounts, trend analysis, common size comparative period analysis and product ratio analysis relating to liquidity, efficiency, operating, financing and profitability
Bank Accounts
SWTC will provide advisory and management services to its new third-party distributors, wholesalers, retailers, and licensees required to set up all aspects for their company to open operating and payroll bank accounts, including, but not limited to, preparing company resolutions to open accounts, preparing company minutes, preparing and/or providing required new bank account information, obtaining signatory cards, etc.
Payroll System
SWTC will provide advisory and management services necessary for its new third-party distributors, wholesalers, retailers, and licensees or new products for all set up aspects of its outside-sourced payroll system, including government compliance reporting requirements.
